1. Definitions
1.1. “Service” means the web-based application that converts financial data into downloadable charts.
1.2. “User” or “you” means any person or legal entity registering for or using the Service.
1.3. “Provider Data” means the financial data licensed from third-party providers (e.g., financialmodelingprep.com).
1.4. “Subscription” means a paid plan (Analyst, Vice President, Managing Director) that grants a quota of chart rendering.
1.5. “Agreement” means these Terms of Service, together with any referenced policies (e.g., Privacy Policy).

2. Service Description
2.1. The Service visualizes licensed financial data in chart form. It does not generate predictions, analysis, or interpretive commentary.
2.2. If data points are missing, the chart will explicitly show and label missing data.
2.3. Charts can be downloaded as image files (e.g., PNG). There is no CSV or PDF download.
2.4. There is no API – all usage takes place through the web UI.
2.5. Users cannot import their own data. All data originates from Provider Data.

3. Subscription, Billing, and Payment
3.1. Subscription Tiers:

  • Analyst (entry-level)

  • Vice President (advanced)

  • Managing Director (pro)
    3.2. Billing Options: Monthly or annual subscription.
    3.3. Payment Methods: Credit card, debit card, SEPA bank transfer.
    3.4. No free trial is offered.
    3.5. Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled.

4. Refund Policy and Cooling-off (for EU Consumers)
4.1. Consumers residing in the EU have a 14-day statutory right of withdrawal (“cooling-off period”).
4.2. During checkout, users may choose to begin the Service immediately. If they do, they expressly waive their withdrawal right as soon as they start using the Service and once chart quota is assigned. An email confirmation of the waiver will be sent.
4.3. If the user does not choose immediate access and withdraws within 14 days, a full refund is issued if no Service has been used.
4.4. If part of the Service has been used during the withdrawal period and no waiver was given, a proportional refund will be calculated based on the remaining subscription time.
4.5. After the 14-day period (or after waiver), payments are non-refundable.
4.6. Users may cancel their subscription at any time. Cancellation takes effect at the end of the current billing cycle. Quota not used in the current period does not roll over and is not refunded.

5. Third-Party Data / Data Quality Disclaimer
5.1. The Service uses Provider Data (financialmodelingprep.com).
5.2. Provider Data is delivered “as-is” and “as-available”; no warranties (express or implied) of completeness, timeliness, accuracy, or fitness for a particular purpose.
5.3. The user acknowledges that data providers may change, delay, correct, or remove data without notice.
5.4. Users may not resell, republish, redistribute, or commercially exploit the raw data unless explicitly permitted in writing.
5.5. Use of Provider Data does not imply any endorsement or affiliation with the data provider, nor transfer of any trademark rights.
5.6. Reliance on Provider Data is at the user’s own risk; the Service disclaims liability for errors, outages, or inaccuracies in Provider Data.

6. Data Access and Storage
6.1. Chart data is fetched live on request.
6.2. For UI features (e.g., autocomplete), limited subsets of Provider Data may be cached by the Service.

7. User Data and Privacy
7.1. The Service collects usage metrics (e.g., via Google Analytics) and other operational data.
7.2. Payment data is handled via a secure payment processor; only tokenized or minimal data is stored by the Service.
7.3. No user-uploaded data is stored.
7.4. A separate Privacy Policy governs all personal data processing; please review it to understand how we collect, use, and store your data.

8. Service Availability, Maintenance, and Reliability
8.1. No guaranteed Service Level Agreement (“SLA”): we do not guarantee continuous or uninterrupted operation.
8.2. The Service may be interrupted due to maintenance, unexpected faults, or infrastructure issues.
8.3. While we make reasonable efforts to maintain infrastructure and minimize data loss, no formal redundancy or backup guarantee is offered (particularly since chart data is not permanently stored).

9. Intellectual Property
9.1. All code, design, visualizations, and software are owned by us (the provider).
9.2. Users are permitted to share chart images generated by the Service.
9.3. Commercial use of chart images requires explicit permission from us.

10. Prohibited Conduct
10.1. Prohibited activities include, but are not limited to:

  • Automated data scraping / crawling / bots

  • Reverse engineering or decompiling

  • Bulk downloading beyond permitted quotas

  • Redistributing raw financial data

  • Misusing the Service in any way that overloads its infrastructure
    10.2. Rate Limiting: usage is limited to 6 chart requests per minute. Excess usage may lead to rate-limit enforcement or suspension.

11. Account Suspension, Termination, and Non-Payment
11.1. We may suspend or terminate accounts for: non-payment, fraud, abuse of the Service, repeated violations of these Terms, or commercial misuse of charts.
11.2. For payment failures: after a 3-day grace period, access may be paused until the outstanding payment is made; if unresolved, the subscription will be canceled, and the account suspended.
11.3. Upon termination:

  • The user account is deleted (but email address retained for fraud-prevention).

  • Payment tokens / method info are removed in line with our data retention policy.

  • Billing-related data (transaction records) may be kept where required by law / payment processor.

12. Governing Law and Jurisdiction
12.1. These Terms are governed by the laws of Germany.
12.2. Disputes arising from or in connection with these Terms will be subject to the jurisdiction of the courts in Aachen, Germany.
12.3. For consumers in the EU, mandatory local consumer-protection laws apply in addition to these Terms.

13. Modifications to Terms
13.1. We reserve the right to modify these Terms at any time.
13.2. For major changes (e.g., pricing, subscription structure), we will notify you by email at least 30 days before the changes take effect.
13.3. If you continue to use the Service after the effective date of changes, you are deemed to accept the new Terms.

14. Complaints and Dispute Resolution
14.1. You may submit complaints or disputes via email to: support@[your-domain].com.
14.2. We aim to respond to all complaints within 7 business days.
14.3. For EU consumers: you may also use the EU Online Dispute Resolution (ODR) platform.

15. Limitation of Liability
15.1 The Service (including chart-rendering) is provided “as is” and “as available,” and we expressly disclaim any warranties regarding the accuracy, completeness, or timeliness of the third-party financial data.
15.2 We shall not be liable for any indirect, special, consequential, or punitive damages, including but not limited to loss of profit, business interruption, loss of data, or loss of goodwill, arising in connection with your use of the Service.
15.3 Our total aggregate liability for all claims arising under or in connection with this Agreement is limited to the amount you paid for the Service in the 6 months preceding the event that gave rise to the claim.
15.4 The limitations in this Section do not apply to
(a) gross negligence or willful misconduct;
(b) liability for intellectual property infringement;
(c) data protection breaches under applicable data-protection law (e.g., GDPR); or
(d) any liability that cannot be limited under mandatory law.
15.5 You acknowledge that the pricing of our Service is based in part on these disclaimers and limitations being an essential part of our agreement.

    16. Force Majeure
    16.1. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control (e.g., natural disasters, war, cyberattacks, or service-provider failures).

    17. General Provisions
    17.1. If a provision in these Terms is found to be invalid or unenforceable, the remainder still applies.
    17.2. Waiver of any right under these Terms is not effective unless in writing.
    17.3. No third-party beneficiaries: these Terms do not confer rights to anyone who is not a party to this Agreement.

    18. No Affiliation Disclaimer
    Logos, trademarks, and brand names displayed within charts are used solely for purposes of identification and belong to their respective owners. Their inclusion does not imply any affiliation, endorsement, or sponsorship by the trademark owners.
